1. Introduction

These terms of service ("Terms") govern your use of the Happy Webs website and any services provided by Happy Webs ("we", "us", or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms.

Happy Webs is an applied AI and digital consultancy based in Tameside, Greater Manchester, specialising in AI automation, web design, and digital solutions for growing businesses.

2. Use of Our Website

You may use our website for lawful purposes only. You must not use our website in any way that breaches any applicable local, national, or international law or regulation, or in any way that is unlawful or fraudulent.

3. Services

The services we provide are outlined during the proposal and quotation process. All projects are governed by a separate project agreement that will be provided before work commences. That agreement will detail the scope of work, deliverables, timelines, and payment terms.

4. Quotations and Pricing

All quotations are valid for 30 days from the date of issue unless otherwise stated. Prices are quoted in GBP and are exclusive of VAT unless otherwise specified. We reserve the right to adjust pricing if the scope of work changes after a quotation has been accepted.

5. Payment Terms

Payment terms are agreed on a per-project basis and will be detailed in the project agreement. Typical payment schedules involve a deposit on commencement, a midpoint payment, and a final payment on completion. Invoices are due within 14 days of issue unless otherwise agreed.

6. Intellectual Property

Upon receipt of full payment, you will own the final website design, content, and code created specifically for your project. We retain the right to display the work in our portfolio and case studies unless you request otherwise in writing.

Third-party assets such as stock images, fonts, and plugins may be subject to their own licence terms. We will inform you of any third-party licences that apply to your project.

7. Client Responsibilities

You agree to:

  • Provide all required content, images, and materials in a timely manner.
  • Review and approve work within reasonable timeframes as agreed in the project plan.
  • Ensure that any materials you provide do not infringe upon the intellectual property rights of any third party.
  • Maintain current login credentials and domain registrations where applicable.

8. Limitation of Liability

To the fullest extent permitted by law, Happy Webs shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with our services or your use of our website. Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim.

9. Cancellation and Refunds

Either party may cancel a project by providing written notice. In the event of cancellation, you will be invoiced for all work completed up to the date of cancellation. Deposits are non-refundable unless we are unable to commence the agreed work within a reasonable timeframe.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the English courts.
